1. About these terms
These Terms of Service ("Terms") are an agreement between you (and any organisation you act for) and Guveno, operated by Guveno LLC, a Delaware limited liability company with offices at 490 Post St, Ste 500 PMB 2399, San Francisco, CA 94102, USA. They cover the entire service: our website, the dashboard, the developer API, and the SDK and CLI ("Guveno" or the "service"). If you use Guveno on behalf of an organisation, you confirm you are authorised to bind it, and "you" means that organisation.
2. The service
Guveno provides self-custodial crypto wallets (hot, cold, payment and exchange surfaces) together with a developer platform: an API, SDK, CLI, webhooks, multi-signature policies and role-based access. You hold your own keys. Hot-wallet keys are encrypted client-side with your encryption key; cold-storage keys are generated in a key ceremony and never touch a connected machine. We do not custody your funds, hold your keys, or have the ability to move, freeze, or recover your assets on your behalf. Guveno is software, not a bank, broker, exchange, money-services business, custodian, or investment adviser, and nothing we provide is financial, legal or tax advice.
3. Eligibility
You must be at least 18, have legal capacity to enter these Terms, and be permitted to use crypto services in your jurisdiction. You may not use Guveno if you are located in, or are a resident or national of, a sanctioned or embargoed region, or if you appear on a sanctions or denied-party list. You must provide accurate account information and keep it current.
4. Accounts & organisations
- You are responsible for everything that happens under your account, including the acts of your team members, seats, and roles (initiators, approvers, admins) within your organisation.
- Keep your login credentials and any multi-factor secrets confidential, and notify us promptly of any unauthorised access at security@guveno.com.
- You are responsible for configuring your own multi-signature thresholds, velocity limits, and approval policies appropriately for your risk tolerance.
5. Plans & billing
- Paid plans are billed per organisation. Each tier sets a flat base price, included resource amounts (wallets, monitored addresses, organisation members), and network access. API requests are not metered or billed. The free Developer tier is limited to the Bitcoin and Ethereum test networks and its resource limits are fixed.
- On paid plans, wallets and monitored addresses held beyond your tier's included amounts are billed monthly as overage at the published per-unit rates, measured from the resources your organisation holds at the end of each calendar month and invoiced separately from the base subscription. Organisation-member limits are not subject to overage. Enterprise agreements may set custom limits or disable overage in favour of a hard cap.
- Some tiers offer additional blockchain networks as recurring add-ons at the published per-chain price; add-ons are billed as part of your subscription.
- Fees are charged through our payment processor (Stripe); you authorise recurring charges for the plan and any add-ons.
- Subscriptions renew automatically until cancelled. Fees are exclusive of taxes, which you are responsible for. Except where required by law, fees already paid are non-refundable; plan changes are prorated or credited through Stripe.
6. Developer API, keys & webhooks
- API keys (e.g. gv_live_ keys) authenticate as your organisation. Keep them secret, scope and rotate them, and treat all activity from a key as your own.
- Respect published rate limits. Don't probe, overload, or circumvent them. We may throttle, suspend, or revoke keys that threaten the stability or security of the service.
- You are responsible for the security and behaviour of any webhook endpoints you register, including verifying our signing secret on delivered events.
7. Acceptable use
You agree not to use Guveno to:
- break the law, or facilitate fraud, money laundering, terrorist financing, or sanctions evasion;
- infringe others' rights, or transmit malicious, unlawful or harmful content;
- attack, reverse-engineer (except as permitted by law or an applicable open-source licence), disrupt, or gain unauthorised access to the service or its infrastructure, or to any blockchain network through it;
- resell or expose the service to third parties except as expressly permitted by your plan.
8. Crypto-asset risks
Crypto assets are volatile and carry risk. On-chain transactions are generally irreversible: once broadcast, a transfer cannot be undone, reversed, or recovered by us. You are responsible for network fees, for sending to correct addresses and networks, and for the consequences of forks, re-orgs, or chain outages. Crypto assets are not deposits, are not insured by the FDIC or any government scheme, and you bear the full risk of loss.
9. Your responsibilities
- Safeguard your seed phrase, private keys, encryption key, and password. We cannot recover them, and losing them means losing access to your funds.
- Use the service in compliance with all applicable laws, regulations, and your own tax obligations.
- Maintain your own backups of keys and any data you need to retain.
10. Service availability
We aim for reasonable uptime and will work to disclose serious security incidents promptly, but the service is provided without any uptime guarantee. We may modify, suspend, or discontinue features, perform maintenance, or impose limits, and we are not liable for downtime of third-party networks or providers.
11. Intellectual property
Guveno and its software, design, and marks are owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable right to use the service per these Terms. Open-source components remain governed by their own licences. Your data and your keys remain yours.
12. Third-party services
Guveno relies on third parties: blockchain networks and RPC providers, payment processing (Stripe), email delivery, and hosting. We are not responsible for their acts, outages, or terms, and your use of them may be subject to their own agreements.
13. Disclaimers
The service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
14. Limitation of liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of crypto assets, profits, or data. Our total liability for any claim is capped at the greater of the amount you paid us in the 12 months before the claim, or USD 100.
15. Indemnity
You will indemnify and hold Guveno LLC harmless from claims, losses, and expenses arising out of your use of the service, your content, or your breach of these Terms or applicable law.
16. Termination
You can close your account at any time and withdraw your funds beforehand. We may suspend or terminate accounts that violate these Terms or applicable law, or where required for security or legal reasons. Because the wallet is self-custodial, terminating the service does not affect your keys or on-chain assets, which remain under your control.
17. Changes to these terms
We may update these Terms. For material changes we'll give reasonable notice (e.g. by email or in the dashboard). Continuing to use the service after changes take effect means you accept the updated Terms.
18. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Disputes are resolved by binding arbitration on an individual basis, unless you opt out by emailing legal@guveno.com within 30 days of first accepting these Terms.

Plain-English summary. Guveno is a self-custody crypto wallet and developer platform: you hold your own keys and we never custody your funds. Use it lawfully, keep your keys and API credentials safe, pay for the plan you use, and don't attack the service or the chain. By creating an account or using any part of Guveno, you agree to these terms.
